In the event that a CLIENT accepts the candidate(s) from the CONSULTANT for Interview, it shall be deemed as the full acceptance of CLIENT on all the terms and conditions stated in the ‘Service Agreement’ and confirmation on the same.




The CLIENT shall express requirements of personnel in writing as per ‘Annexure – B’ with complete details of job profile such as age group, educational qualifications, experience and remuneration offered for which the services of CONSULTANT are sought.




The CLIENT shall notify the CONSULTANT immediately on the engagement of any candidate(s) introduced by them.




The CLIENT is responsible for complying with all legal obligations connected with the engagement of the candidate(s) including providing suitable contract of employment.




The CONSULTANT shall take all reasonable steps to introduce candidate(s) who are of sound character, honest and reliable but cannot be held responsible for the conduct of candidate(s) at any time.




Incase the resumes sent by CONSULTANT are already in CLIENT’s databank, the CLIENT will immediately intimate about the same otherwise in the event of selection of said candidate(s), the placement charges will be payable.




In case any of the candidate(s) referred by the CONSULTANT will be appointed by the CLIENT on any position within 06 months from the date of his/her interview / introduction, the charges agreed by the CLIENT will be payable to the CONSULTANT in any case and later on ‘No Arguments’ will be entertained.




Incase the CLIENT or a member of the CLIENT’s Staff or any acquaintance or associate of the CLIENT, passes on an introduction of candidate(s) referred by the CONSULTANT to any other person or persons within 06 months of the candidate’s introduction to the CLIENT resulting in the engagement of the candidate(s), the CLIENT shall be liable for payment of the appropriate fee in accordance with the fees described in the ‘Service Agreement’.




The CONSULTANT shall provide replacement of candidate(s), if the candidate(s) referred by the CONSULTANT and selected by the CLIENT resigns/leaves the employment on his own accord within 2 months of appointment. The CONSULTANT shall not provide any replacement in case CLIENT terminates the services or ask the candidate(s) to resign.




The CONSULTANT must be informed about the candidate(s)’ resignation within 24 hours of receiving notice.




The CLIENT shall make available the copy of ‘Appointment Letter’ with detailed break up of remuneration package to the CONSULTANT within 03 days from the date of joining of successful candidate(s).




The Consultant shall raise the invoice on the date of joining of the candidate and the CLIENT shall make the payment within 30 days from the date of Candidate(s)’ Joining whether candidate(s) is on trial or on probation.




The penalty would be payable @ 10% of Total Billed Amount for first 05 days and after that 25% of Billed Amount in case of delay of payment for any reason.




The CONSULTANT shall be eligible only for fee for the services rendered as per above and not for any incidental expenses or any other expenses, taxes, charges etc.




All the Payments except Agreement fee should be made in Cheque / DD / PO drawn in favor of M/s Infinity Placement Services payable at Delhi.




In case CLIENT hired the CANDIDATE without the information of CONSULTANT, the CONSULTANT shall be eligible to file the case against CLIENT for cheating under IPC Section 415 & 420.




Any disputes or differences that may arise between the parties herein or successors or assigns thereof in regard to this agreement, its interpretations and renewals thereof, then such disputes or differences if any shall be referred to a Sole Arbitrator to be mutually appointed by the Arbitrators of the parties to be appointed by the CLIENT and the CONSULTANT, whose decision shall be final and binding.  The provisions of Indian Arbitration and Conciliation Act, 1996 or its amendments thereof shall apply in this behalf.  The venue of arbitration shall be Delhi and the arbitrary proceedings shall be conducted in English language.
